Focus areas

Our leveraged finance practice specialises in all aspects of financing domestic and cross-border leveraged buy-outs, corporate acquisitions and public takeovers.

We act for a broad range of international and local banks, financial institutions and investment funds in their capacities as arrangers, lenders, agents, trustees and investors in leveraged finance transactions. We also advise private equity funds, corporate borrowers and corporate issuers on all aspects of leveraged finance transactions.

The breadth of our experience, which includes advising investment funds on debt investments in the primary and secondary debt and bond markets, ensures we are involved in many of the market leading transactions and that our clients can benefit from our market knowledge.

Structuring and documenting asset finance transactions can be complex, involving several jurisdictions, often with competing legal and tax systems. The strength and depth of our experience cuts through the complexity and is demonstrated by the diversity of the assets and products on which we advise, at both a domestic and cross-border level. Our clients include banks, financiers, lessors, lessees, manufacturers, borrowers, export credit agencies and government organisations.

With particular strength in the transport sector, we advise on aviation finance and leasing transactions, rail financing and supply of rolling stock, and shipping financing, as well as aviation and shipping-related restructurings.

Our asset-based lending lawyers advise corporate borrowers and global financial institutions across the full range of asset-based lending (ABL) matters including traditional commercial and corporate finance transactions, and leveraged acquisitions. Our ABL lawyers advise on innovative, national and cross-border lending ABL structures.

Based on our experience in many key asset-based jurisdictions, our lawyers use their extensive knowledge of the international regulatory environments that underpin ABL transactions in Belgium and across the globe to provide sector-specific legal advice to various industries including the retail, transport, manufacturing and energy industries on receivables and inventory financing, secured financing and equipment financing transactions.

In an increasingly complex and challenging regulatory environment, clear guidance from professional advisers has never been more critical. Risk management and regulatory compliance principles are constantly changing. To protect your commercial reputation and viability, such matters need to be handled competently, efficiently and sensitively.

Through our established relationships with regulatory bodies, we can readily draw on this experience to offer prompt, pointed and clear advice to help our clients determine how best to maintain compliance.

We advise on the effect and impact of regulations on businesses operating in the financial services sector, compliance, investigations by local regulatory bodies, transactional work relating to trading and clearing platforms, and offerings of securities, derivatives and other financial products.

We advise a wide variety of stakeholders in restructuring and insolvency cases, including distressed borrowers; senior, junior, and subordinated debt providers; shareholders; directors; trustees; and suppliers to a distressed borrower. We also act for investors looking to buy into a distressed situation at either the debt or equity level.

Lydian’s Restructuring and Insolvency team has experience in all insolvency procedures, whether used as part of a work-out or as an exit solution for a distressed entity.
